Scannd Terms of Service
Please note: Sections 9 through 16 and section 18 cover authorization to scan, subscriptions, billing, cancellation, and refunds. These commercial terms are new, are subject to review, and may be updated. If anything in them is unclear, please contact us at support@scannd.com before purchasing.
1. Introduction
Welcome to Scannd. These Terms of Service ("Terms") govern your access to and use of our services, including our various websites, APIs, email notifications, applications, buttons, widgets, ads, and commerce services (the "Services" or “Scannd”), and any information, text, graphics, photos, or other materials uploaded, downloaded or appearing on the Services (collectively referred to as "Content"). Your access to and use of the Services are conditioned on your acceptance of and compliance with these Terms. By accessing or using the Services you agree to be bound by these Terms.
"Customer Scan Data" means the scan results, findings, vulnerability data, reports, and target and target-configuration data that are submitted to or generated by the Services in connection with your account. Customer Scan Data is not "Content" for the purposes of these Terms. No provision of these Terms that applies to Content applies to Customer Scan Data, and Customer Scan Data is instead governed by the confidentiality commitment in section 2, by section 3, and by the ownership provision in section 5.
2. Basic Terms
- Confidentiality of Scan Data: Customer Scan Data is confidential. Scannd will not publish it, make it publicly accessible, sell it, license it out, syndicate it, broadcast it, or otherwise share or distribute it to other users or to third parties, except as required by law, with your explicit consent, or to service providers that process it on Scannd's behalf under confidentiality obligations and solely in order to provide the Services to you.
- Scannd's rights in Customer Scan Data: Scannd's only rights in Customer Scan Data are a limited, non-exclusive, royalty-free, non-sublicensable, non-transferable right to host, store, process, transmit, and display it, and to send it to you and to the authorized users on your account, solely in order to operate and provide the Services to you. Scannd acquires no other right in Customer Scan Data. That right ends when the data is deleted or your account ends, as described in section 3 and section 18.
- These two bullets control. If any other provision of these Terms could be read to give Scannd a broader right in Customer Scan Data, or a right to publish, syndicate, or distribute it, these two bullets prevail over that provision.
- You may use the Services only if you can form a binding contract with Scannd and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You may use the Services only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
- The Services that Scannd provides are always evolving, and the form and nature of the Services may change from time to time without prior notice to you. Scannd may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally and may not be able to provide you with prior notice. We also retain the right to create limits on use and storage at our sole discretion at any time without prior notice to you.
3. Privacy
Any information that you provide to Scannd is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing, and use by Scannd.
Data Retention: Scannd retains the scan results associated with your account so that your scan history remains available on your dashboard; scan results are not deleted on an automatic schedule. If you wish to delete your scan data, you may contact us at support@scannd.com to request deletion. Scan results are available to you through your authenticated dashboard and in the report emails we send you, and are handled as described in section 2 and in our Privacy Policy. Scannd employs industry-standard security measures to protect your data from unauthorized access or disclosure.
International Data Transfers: Scannd will take appropriate steps to ensure that personal data is protected in accordance with applicable data protection laws, including the use of standard contractual clauses or other legally recognized mechanisms for data transfers outside the European Economic Area (EEA).
4. Passwords
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. Scannd cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
5. Content on the Services
All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content. We may not monitor or control the Content posted via the Services and cannot take responsibility for such Content. Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk.
We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services. You understand that by using the Services, you may be exposed to Content that might be offensive, harmful, inaccurate, or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. Under no circumstances will Scannd be liable in any way for any Content, including but not limited to any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available via the Services or broadcast elsewhere.
Scan Results Ownership: Users retain ownership of any data or results generated from the Services. Customer Scan Data is not Content, so the two paragraphs above do not apply to it; it is confidential and is governed by section 2 and section 3. However, Scannd will not be liable for any decisions, actions, or inactions taken based on scan results, and users are responsible for assessing and addressing any vulnerabilities identified.
6. Your Rights
This section applies only to Content. It does not apply to Customer Scan Data. Your scan results, findings, vulnerability data, reports, and target and target-configuration data are excluded from every license granted in this section, and nothing in this section gives Scannd any right to publish, syndicate, broadcast, distribute, sublicense, or otherwise disclose them. Customer Scan Data is governed by section 2 and section 3, and section 2 controls.
You retain your rights to any Content you submit, post, or display on or through the Services. By submitting, posting, or displaying Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free, non-sublicensable, non-transferable license to host, store, use, copy, reproduce, process, adapt, transmit, and display that Content solely as necessary to operate and provide the Services to you and to any other user you have shared it with.
Where you choose to post Content through a feature of the Services that is expressly public, that license also allows us to display and distribute that Content through that public feature, for as long as you leave it posted there. We do not acquire any other right in your Content, and no compensation will be paid to you for the Content that you submit.
7. Scannd Rights
All right, title, and interest in and to the Services (excluding Content provided by users) are and will remain the exclusive property of Scannd and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.
8. Restrictions on Content and Use of the Services
We reserve the right to remove or refuse to distribute any Content on the Services and to terminate users or reclaim usernames. Please review the Scannd Rules to better understand what is prohibited on the Service.
You may not do any of the following while accessing or using the Services: (i) access non-public areas of the Services, (ii) probe, scan, or test the vulnerability of (a) Scannd's own systems, infrastructure, or networks, or (b) any third-party system that you do not own and are not authorized to test, (iii) access the Services by any means other than the interfaces provided, (iv) forge TCP/IP packet headers, or (v) interfere with, disrupt, or degrade the Services, or any user, host, or network, other than the effects on your own authorized targets of a scan you are permitted to run under section 9.
For the avoidance of doubt, this section does not prohibit scanning that you are authorized to run under section 9 against targets registered on your account. Running those scans is the purpose of the Services and is permitted. This section does not itself grant you permission to test any system; section 9 sets out what you must have in place before you run a scan.
9. Authorization to Scan
Scannd tests systems for security weaknesses. Testing a system you do not own or have permission to test may be unlawful. This section applies to every scan you run, on every plan, including the free plan.
By submitting a target (a domain, host, IP address, URL, or any other system) to the Services, you represent and warrant that, for each target and at the time of each scan, you either own that target or have current, explicit authorization from its owner to have it tested by Scannd on your behalf.
- You are solely responsible for obtaining that authorization and for keeping a record of it. Scannd does not verify ownership or authorization and has no practical way to do so.
- Submitting a target without authorization is a serious breach of these Terms. It is grounds for immediate suspension or termination of your account under section 18, without notice and without refund.
- You are responsible for any consequences of scanning a target you were not authorized to test, including any claim brought by the target's owner, its hosting provider, or any regulator or law enforcement authority.
- You agree to indemnify and hold Scannd harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from a scan you ran against a target you did not own or were not authorized to test.
- Deeper scan depths include active and intrusive checks that send real requests to your targets and may affect their availability or performance. Choose a scan depth appropriate for the target and the time you run it. Section 19 applies.
Nothing in this section grants you permission to test any system. Permission is yours to obtain from the system's owner.
10. Subscriptions and Fees
Scannd is offered on a free plan and on paid subscription plans. The plans and prices in effect as of the date at the bottom of this page are:
- Free: $0.
- Solo: $39 per month, or $365 per year.
- Startup: $149 per month, or $1,395 per year.
- Agency: $399 per month, or $3,735 per year.
- Partner: priced by arrangement. Contact us at support@scannd.com.
All prices are in United States dollars. The price that applies to your subscription is the price shown to you at checkout at the time you purchase, and that price is what you agree to pay. Our pricing page shows current pricing and may change over time, as described in section 14.
Prices are exclusive of taxes. You are responsible for any sales tax, use tax, VAT, GST, withholding, duty, or similar charge that applies to your purchase, other than taxes on Scannd's own income. Where we are required to collect a tax, it will be added to your charge.
Payments are processed by our payment processor. By purchasing a subscription, you authorize us and our payment processor to charge your payment method for the fees described in these Terms.
11. Billing and Auto-Renewal
Subscriptions renew automatically until you cancel. Your payment method is charged at the start of each billing period.
- Monthly plans: you are charged at the start of each monthly period, and the subscription renews for a further month at the end of each period until cancelled.
- Annual plans: an annual plan is a 12-month term. You are charged the full annual amount at the start of the term, and the subscription renews for a further 12-month term at the end of each term until cancelled.
Renewals are charged at the then-current price for your plan, subject to the notice we give under section 14. You are responsible for keeping a valid, current payment method on file; if a charge fails, section 15 applies.
You can cancel at any time to stop the next renewal. See section 12.
12. Cancellation
You may cancel a paid subscription at any time, either through the "Manage subscription & billing" link in your dashboard settings, or by emailing support@scannd.com from the email address on your account.
- Cancellation takes effect at the end of the paid period you are currently in. It stops the next renewal; it does not end the period you have already paid for.
- Your plan's access and entitlements continue until the end of that period. When the period ends, your account moves to the free plan and its limits apply.
- Cancelling does not produce a refund or a pro-rated credit for the unused part of the period, except under the money-back guarantee in section 13 or where the law requires otherwise.
- Cancelling a subscription is not the same as deactivating your account. If you also want to end your agreement with Scannd entirely, see section 17.
13. Refunds and the 60-Day Money-Back Guarantee
We offer a 60-day money-back guarantee on a first paid subscription. These are its exact terms.
- Who is eligible: a customer making their first paid purchase on an account. The guarantee can be used once per customer. It does not apply to a second or later subscription, to a renewal, to an upgrade or plan change, or to a new account opened by a customer who has already used the guarantee.
- The window: we must receive your request within 60 days of the date of your first charge.
- How to request it: email support@scannd.com from the email address on your account and ask for a refund under the money-back guarantee. You do not need to give a reason.
- What is refunded: the amount you actually paid on that first charge — one monthly payment, or one annual payment if you bought an annual plan. Taxes we were required to collect are refunded where we are able to recover them. Later charges are not refunded.
- What happens next: we cancel the subscription when we issue the refund, your account moves to the free plan at that point, and the refund is returned to the original payment method. Your bank or card issuer decides how quickly it appears, which is usually within ten business days.
- When it does not apply: to accounts suspended or terminated for cause under section 18, to accounts that have breached section 9 or section 16, and to any request received after the 60-day window.
Outside this guarantee, fees are non-refundable except where required by law. Nothing in this section limits any statutory right to a refund you may have where you live.
14. Price Changes
We may change our prices. If a price change will affect your subscription, we will email the address on your account at least 30 days before the new price takes effect.
A price change applies from your next renewal after that notice period. It does not change the price of a period or term you have already paid for. If you do not want to pay the new price, cancel before that renewal under section 12; your access continues to the end of the period you have already paid for.
15. Failed Payments and Past-Due Accounts
If a charge fails, we and our payment processor will attempt to collect it again over a grace period of 14 days from the first failed attempt, and we will email you at the address on your account so you can update your payment method.
- Your service continues normally during the grace period.
- If payment has not been collected by the end of the grace period, we may suspend your subscription or downgrade your account to the free plan. On a downgrade, paid entitlements stop: your scan quota, target count, and scan depth revert to free plan limits.
- Suspension or downgrade does not cancel amounts already due. Fees for a period you have used remain payable.
- To restore a suspended or downgraded subscription, update your payment method and settle the outstanding amount. If it remains unpaid, we may cancel the subscription and, under section 18, terminate the account.
16. Plan Limits and Fair Use
Your access to the Services is limited to the entitlements of the plan you purchased. Those entitlements include the number of scans available to you, the number of targets you may register, the scan depth available to you, and the set of scan templates that depth runs. The entitlements for each plan are the ones listed on our pricing page at the time of your purchase.
Features we describe as planned, upcoming, or coming at launch are not part of what you have purchased until they are released, and we do not commit to a release date for them.
You agree not to circumvent, or attempt to circumvent, the limits of your plan. This includes creating multiple or duplicate accounts to obtain additional free scans, sharing credentials or API keys outside the seats included in your plan, automating requests in order to exceed a quota, and reselling or providing access to the Services to third parties unless your plan expressly allows it.
Where a plan includes unlimited scanning, that is subject to fair use. We may rate-limit or queue scans to protect the stability of the platform and the targets being scanned. If your usage is sustained materially beyond what the plan is designed for, we will contact you to discuss a suitable plan; if it continues, or if you circumvent plan limits, we may suspend or terminate your account under section 18.
17. Ending These Terms
The Terms will continue to apply until terminated by either you or Scannd. You may end your legal agreement with Scannd at any time by deactivating your accounts and discontinuing your use of the Services.
18. Termination for Cause and Effect of Termination
We may suspend or terminate your account, with immediate effect, if you breach these Terms. This includes scanning a target you do not own or are not authorized to test (section 9), circumventing plan limits or breaching fair use (section 16), the prohibited conduct in section 8, non-payment after the grace period in section 15, and any unlawful use of the Services.
Where it is practical to do so, we will tell you what the problem is and give you a chance to fix it. For unauthorized scanning, or where we believe delay would cause harm or legal exposure to a third party or to Scannd, we may suspend or terminate immediately and without prior notice.
If we terminate your account for cause, fees you have already paid are not refunded, and the money-back guarantee in section 13 is not available to you.
When an account ends, for any reason, your access to the dashboard, your reports, and the Services stops. Your scan data is then handled as described in section 3 and in our Privacy Policy, and you may ask us to delete it by emailing support@scannd.com. Export anything you want to keep before your account ends. We may retain records we need to keep for legal, tax, accounting, or security reasons, for as long as we need to keep them.
19. Disclaimers and Limitations of Liability
Scannd is not responsible for any disruption, data loss, system impairment, or damage that may occur as a result of using our Services, whether on your systems or third-party systems. THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
20. General Terms
- Waiver and Severability: The failure of Scannd to enforce any right or provision of these Terms will not be deemed a waiver.
- Controlling Law and Jurisdiction: For users outside the United States, legal proceedings will be subject to the jurisdiction of The State of North Carolina.
- Entire Agreement: These Terms and our Privacy Policy are the entire agreement between you and Scannd.
